Golden parachutes - spare tool of the market for corporate control

Abstract: This work is directed to studying of various aspects of such economical and legal term as «golden parachute» and enterprise practice of work with this tool in the market of corporate control. Dual nature relationship of participants of the transaction on payment of «golden parachutes», dictated on the one hand by the interests of owners of the companies on improvement of quality of management and «insurance» of risks of unfriendly absorption, on the other hand the interests of the shareholders who are receiving less in a section of such payments of a part of possible profits, the interests of the ordinary workers losing possible awards. Due to these need of legislative fixing of regulation of this phenomenon both at the level of the civil and labor law, and at the level of financial interest of both parties for the purpose of minimization of the conflicts of their interests is generated. In addition, in work the operating restrictions of payments of «golden parachutes» are considered, the problem parties of interaction of the state and the organizations for payments of «golden parachutes» under control to him are analyzed.

Current state and prospects of the insurance market as a key element of the Russian financial system

Abstract: The article tells about the current state of the insurance services market in the Russian Federation. Various problems of the insurance market, as well as its prospects for development for the next few years are considered. Theoretical and practical (on examples of domestic companies) substantiation of the state of the relevant market in the current economic and political situation in Russia is given.
